By using our website, filling out our intake forms, or subscribing to our workforce solutions, you agree to comply with and be bound by the following Terms of Service. Please review these terms carefully.
1. Agreement and Parties
This agreement is between you (the Client or User) and Equatorworks (the Company). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Services
Equatorworks offers managed workforce solutions including remote teams, onsite teams, and project-based management services. Our services connect clients with skilled professionals, managing the human resources, payroll compliance, and equipment provisioning on-site in Kenya.
3. Client Obligations
As a Client, you agree to:
- Provide accurate project details, requirements, and communication formats.
- Pay invoices and operational fees promptly in accordance with individual service agreements.
- Treat all deployed workers and specialists with professional courtesy and respect.
- Refrain from attempting to bypass our services to hire deployed workers directly without our prior written agreement.
4. Intellectual Property
All deliverables and intellectual property created by the deployed workforce for your specific projects will belong to you upon full payment of the corresponding service fees. All intellectual property in the Equatorworks platform, website, brand, and proprietary management models remains our sole property.
5. Confidentiality
Both parties agree to protect and maintain the confidentiality of any proprietary information, client data, and trade secrets shared during the course of our engagement. All workers sign strict non-disclosure agreements before commencing work on client accounts.
6. Limitation of Liability
In no event will Equatorworks be liable for any indirect, incidental, special, or consequential damages arising out of the performance or non-performance of our services. Our maximum liability is limited to the amount paid for the services in the three months preceding the event giving rise to the claim.
7. Governing Law and Disputes
These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or related to these terms or our services will be resolved through amicable consultation or, if unresolved, through arbitration in Nairobi.
